Terms of Use

These Terms of Use are an agreement between you and ACME Brains™, Inc. ("ACME," "we," "us") that governs your use of the nexie app and our websites, including acmebrains.com and mynexie.com. By using nexie, you agree to these Terms. If you do not agree to them, you should not use nexie. Please also read our Privacy Policy, which explains how we handle your information.

The short version

  • nexie is an AI assistant, currently a free beta, so you should expect rough edges and changes.
  • You must be 16 or older.
  • You own what you create, and you give us permission to use it only to run nexie for you.
  • nexie's answers can be wrong, so please do not rely on them for medical, legal, financial, or other important decisions.
  • Please be decent, and do not misuse nexie or put other people's confidential information into it.

We provide nexie "as is," and there are limits on our liability. The full terms below are what actually govern.

1. Who can use nexie

You must be at least 16 years old to use nexie. By using nexie, you confirm that you are 16 or older and that you are able to agree to these Terms. If you are under 18, you confirm that a parent or guardian has reviewed these Terms and agrees to them on your behalf.

2. Your account

We sign you in using a magic link sent to your email address, so please keep your email account secure, because anyone with access to your email may be able to reach your nexie account. You are responsible for the activity that occurs in your account, and you may hold one account, for your own use. If you believe someone else has accessed your account, please email us at legal@acmebrains.com.

3. This is a beta

nexie is an early beta version of the product. Features may change, break, or be removed; the service may be unavailable at times; and we may add, change, or discontinue nexie, or the beta program, at any time. We work to protect your data, but while nexie is in beta, you should not rely on nexie as the only place you keep anything important.

4. What nexie is, and is not

nexie is an AI assistant that answers your questions using third-party AI models. Its responses can be inaccurate, incomplete, or out of date, and they may sound confident while still being wrong. nexie is not a substitute for a professional, and nothing nexie tells you is medical, legal, financial, or other professional advice. Using nexie does not create any professional relationship. Please check anything important with a qualified professional before you rely on a nexie response.

5. Your content

  • You own the content you put into nexie, including your questions, notes, personas, and labels, along with the responses you receive, to the extent we are able to give you those rights.
  • You give us a limited license to use your content solely to operate nexie for you, which means storing, securing, and processing your content to answer your questions and to display your content back to you. We do not sell your content, use it for advertising, or use it to train AI.
  • You are responsible for the content you put into nexie. Please do not input content you do not have the right to use, and do not input other people's confidential or regulated information, such as another person's medical or client records.

6. Feedback

We welcome your feedback, ideas, and suggestions about nexie. You are not required to send any, but if you do, you grant ACME and our affiliates a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable license to use, share, and build on them for any purpose, with no obligation or payment to you. We may also develop features similar to your suggestions without owing you anything. This license applies to your suggestions and ideas, not to the private content covered by Section 5.

7. Acceptable use

You agree not to use nexie to:

  • break the law or harm others;
  • access other users' data or our systems, or work around our security or safety measures;
  • create content that sexually exploits or endangers minors, or that promotes violence, self-harm, or illegal activity;
  • input other people's confidential or regulated information without the right to do so; or
  • misuse, overload, copy, scrape, reverse-engineer, or resell nexie.

We use automated measures to enforce these rules, and we may withhold responses, suspend an account, or close an account that breaks them. Because this enforcement is automated, it will not be perfect.

8. Our intellectual property

nexie, including its software, design, and brand, belongs to ACME. The name nexie, the nexie logo, the name ACME Brains, the ACME Brains logo, and Personal Context Engine™ are trademarks of ACME Brains, Inc., and you may not use or reproduce them without our written permission. We grant you a personal, limited, non-exclusive, and non-transferable license to use nexie under these Terms, and we reserve all rights that we do not expressly grant.

9. Third-party services and app stores

nexie relies on third-party AI providers and is distributed through the Apple App Store and Google Play, so your use of nexie may also be subject to those companies' terms. If you obtain nexie from the Apple App Store, the following apply: Apple is not responsible for nexie or these Terms and is not a party to them; Apple is a third-party beneficiary of these Terms and may enforce them; and if nexie fails to meet an applicable warranty, you may notify Apple, which may refund the app's purchase price, though there is no purchase price during the free beta, and Apple has no other warranty obligation. nexie and our websites may also link to sites and services we do not operate, and we are not responsible for their content or their privacy practices.

10. Privacy

Our Privacy Policy explains how we handle your information, and by using nexie, you agree to that policy.

11. Ending your use

You may stop using nexie and delete your account at any time, either from within the app or outside the app using our account deletion page. We may suspend or end your access if you break these Terms, if we are required to for legal or security reasons, or if we discontinue nexie. If your account ends, we handle your data as described in our Privacy Policy.

12. Disclaimers

nexie and our websites are provided "as is" and "as available," without warranties of any kind, whether express or implied, including any warranty of fitness for a particular purpose, accuracy, or non-infringement, to the fullest extent the law allows. We do not warrant that nexie or our websites will be accurate, reliable, secure, or available at any given time. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

13. Limits on our liability

To the fullest extent the law allows, ACME will not be liable for indirect, incidental, special, or consequential damages, or for lost data or lost profits, arising out of your use of nexie. ACME's total liability for any claim relating to nexie will not exceed the greater of one hundred US dollars or the amount you paid us during the twelve months before the claim, which is zero during the free beta. Some jurisdictions do not allow these limits, so they may not fully apply to you.

14. Your responsibility for misuse

You agree to reimburse ACME for reasonable losses, including legal costs, that arise from your misuse of nexie, your breach of these Terms or of the law, or content you input that you did not have the right to use.

15. Changes to these Terms

We may update these Terms as nexie evolves. We will post the updated version here with a new date, and if a change is significant, we will make reasonable efforts to notify you in the app. If you continue to use nexie after a change takes effect, you accept the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules. You and ACME agree to bring any dispute in the state or federal courts located in King County, Washington, and each of us submits to the personal jurisdiction of those courts.

17. General

These Terms are the entire agreement between you and ACME regarding nexie, and they replace any earlier agreements on that subject. If any part of these Terms is unenforceable, the remaining parts will still apply. If we do not enforce a right, that is not a waiver of the right. You may not transfer these Terms, but we may transfer them to an affiliate or in connection with a sale of our business.
